Organization

WELCOMEUROPE is a professional training organization with its registered office at 161 rue Montmartre, 75002 Paris, France, referenced in Datadock – Approval Number DIRECCTE: 11 75 35 66 275. WELCOMEUROPE designs, offers, and provides inter and intra in-person training and distance learning.

Contract

  • – These GTC apply to all training provided by WELCOMEUROPE and exclude the application of any other provision.
  • – Any registration for training must be made in writing. The signature and application of the sponsor’s stamp on the registration form or quote imply acceptance of these conditions.
  • – Any registration is considered final only after its acceptance by WELCOMEUROPE.

Pricing

The training prices are those listed on the registration forms or the quote. Prices are always expressed excluding tax (HT) and may include certain direct costs (training and ancillary services such as lunches, refreshments, and training materials) and indirect costs (trainer fees) of the training.

Any session, course, or cycle started is due in full.

Payment Conditions/Training Fee Payment/Training Material Payment

For INTRA or customized training, the applicable payment conditions are stipulated on the agreement form sent to the sponsor.

Subject to the submission of an administrative purchase order before the training, some French public organizations may proceed with payment after the service is rendered, upon receipt of the legal documents related to the training (attendance certificates, training agreements, etc.).

Unless otherwise stated, all prices are quoted in euros excluding tax. French VAT is added if applicable. Any organization exempt from VAT must provide written proof of this exemption; otherwise, VAT will be applied automatically.

A late payment penalty at the interest rate of 5% will be applied to any amount that remains unpaid by its due date. This procedure is applied automatically without notice.

Training Fee Coverage and Payment by an OPCA

The following terms apply only if the OPCA (Approved Joint Collecting Organization) pays Welcomeurope directly (Payment Subrogation). After validation, the OPCA sends Welcomeurope the payment agreement before the start of the training, an essential element for any invoicing to the OPCA. It is the responsibility of the company to ensure its proper receipt on the first day of the training. The invoice is then sent to the OPCA according to the payment terms.

In case of non-payment by the OPCA, for any reason, Welcomeurope reserves the right to re-invoice the training cost to the company.

If the OPCA only partially covers the cost of the training, the remaining balance will be invoiced to the company.

In case of partial absence of the trainee, only the attended hours will be invoiced to the OPCA. The uncompleted portion will be invoiced to the client.

Replacement/Cancellation/Postponement

Trainee replacements are accepted at any time, free of charge, by providing in writing the name and contact details of the replacement, subject to fulfilling the training acceptance conditions. For administrative and pedagogical management reasons, only one postponement per trainee is allowed.

Cancellation in case of force majeure: WELCOMEUROPE cannot be held responsible towards the Client for any non-fulfillment of its obligations resulting from an event of force majeure. Force majeure includes, but is not limited to, illness or accident of a consultant or trainer, internal or external strikes or social conflicts, natural disasters, fires, failure to obtain visas, work permits, or other permits, subsequent laws or regulations, telecommunication interruptions, energy supply interruptions, communication or transport disruptions of any kind, or any other circumstance beyond Welcomeurope’s reasonable control.

Intellectual Property

The use of tools and materials provided by WELCOMEUROPE is limited to the sole use of the trainee attending the training. Any reproduction, even partial, is prohibited.

Information and Communication

WELCOMEUROPE commits to never sharing the participant’s personal data with third parties, except with participants attending the same session (participant list with contact details).

WELCOMEUROPE reserves the right to use the name, brand, and logo for advertising or commercial prospecting purposes, without time limit.

The Client agrees to be cited as a customer of Welcomeurope’s service offerings. WELCOMEUROPE may mention the Client’s name and provide an objective description of the services performed under the contract in its reference lists and proposals to prospects and clients, discussions with third parties, communications to its staff, internal management documents, annual reports to shareholders, and as required by legal, regulatory, or accounting provisions, particularly in the context of public contracts.

Non-Solicitation of Personnel

The Client undertakes not to poach or hire Welcomeurope personnel involved in the contract execution, during the entire duration of the contract and for two calendar years following the cessation of contractual relations. In case of non-compliance with this obligation, the Client must pay Welcomeurope, as a penalty clause, compensation equal to twelve times the last salary, plus employer contributions, of the wrongfully poached employee.

Applicable Law

French law applies to these General Terms and Conditions of Sale and the contractual relations between Welcomeurope and its Clients.

Jurisdiction

Any disputes that cannot be resolved amicably will be subject to the EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF PARIS, regardless of the Client’s headquarters or residence, notwithstanding multiple defendants or third-party claims. This jurisdiction clause does not apply in the case of a dispute with a non-professional Client, for whom the legal rules of material and geographical jurisdiction will apply. This clause is stipulated in the interest of Welcomeurope, which reserves the right to waive it if it sees fit.
